1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and VibeTraveler ("VibeTraveler," "we," "us," or "our"). By accessing or using our website, mobile applications, or any services offered through our platform (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must immediately discontinue use of our Services. We reserve the right to modify these Terms at any time. Continued use of the Services following any modifications constitutes acceptance of the revised Terms.

2. Eligibility and Account Registration

2.1 Age Requirement. You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, to use our Services. By using the Services, you represent and warrant that you meet this requirement.

2.2 Account Creation. To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.3 Account Security. You must immediately notify us of any unauthorized use of your account or any other breach of security. VibeTraveler shall not be liable for any loss or damage arising from your failure to protect your account credentials.

3. Description of Services

3.1 Platform Services. VibeTraveler operates a luxury hotel booking platform that facilitates reservations between users and third-party hotel partners ("Hotel Partners"). Our Services include hotel search and discovery, booking facilitation, AI-powered concierge assistance, and membership benefits programs.

3.2 Intermediary Role. VibeTraveler acts solely as an intermediary between you and Hotel Partners. We do not own, operate, manage, or control any Hotel Partner properties. The contractual relationship for accommodations is directly between you and the applicable Hotel Partner.

3.3 AI Concierge. Our AI-powered concierge ("Vivi") provides travel recommendations and assistance. While we strive for accuracy, AI-generated content is provided for informational purposes only and should not be solely relied upon for travel decisions.

4. Membership Programs

4.1 Membership Tiers. VibeTraveler offers various membership tiers, including Free, Plus, Pro, and Black Card. Each tier provides different benefits, features, and pricing as described on our website at the time of enrollment.

4.2 Subscription Terms. Paid memberships are billed on an annual basis unless otherwise specified. By purchasing a membership, you authorize us to charge the applicable fees to your designated payment method.

4.3 Automatic Renewal. Paid memberships will automatically renew at the end of each billing period unless cancelled. You may cancel your membership at any time through your account settings, with cancellation taking effect at the end of the current billing period.

4.4 Refund Policy. Membership fees are generally non-refundable except: (a) within fourteen (14) days of initial purchase if no bookings have been made; (b) as required by applicable consumer protection laws; or (c) at our sole discretion in exceptional circumstances.

4.5 Benefits Subject to Change. We reserve the right to modify membership benefits with reasonable notice. Material changes to paid membership benefits will be communicated at least thirty (30) days in advance.

5. Bookings and Reservations

5.1 Booking Process. All bookings are subject to availability and confirmation by the applicable Hotel Partner. A booking is not confirmed until you receive written confirmation (via email or through the platform) with a confirmation number.

5.2 Pricing. All prices displayed are in the currency indicated and include applicable taxes and fees unless otherwise stated. Prices are subject to change until a booking is confirmed. Currency conversion rates are approximate and may vary at the time of payment.

5.3 Payment. Payment is processed at the time of booking or at check-in/check-out as specified. You authorize the applicable charges to your designated payment method. Failed payments may result in booking cancellation.

5.4 Cancellation and Modifications. Cancellation and modification policies vary by Hotel Partner and rate type. It is your responsibility to review and understand the applicable policy before completing a booking. Refunds, if applicable, will be processed according to the Hotel Partner's policy.

5.5 No-Shows. Failure to arrive at your booked accommodation ("No-Show") may result in cancellation of your reservation and charges as specified in the booking terms.

6. Member Benefits and Perks

6.1 Availability. Member benefits such as room upgrades, early check-in, late check-out, and complimentary amenities are subject to availability and at the sole discretion of Hotel Partners. VibeTraveler cannot guarantee the provision of any specific benefit.

6.2 Points Program. Points earned through bookings are subject to the terms of our points program. Points have no cash value, are non-transferable, and may expire based on your membership tier. We reserve the right to modify the points program with reasonable notice.

7. User Conduct and Prohibited Activities

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
• Provide false, misleading, or fraudulent information
• Make bookings with intent to defraud or without intent to honor the reservation
• Attempt to circumvent security measures or access systems without authorization
• Interfere with or disrupt the Services or servers connected to the Services
• Use automated systems (bots, scrapers, etc.) to access the Services without our written consent
• Resell, sublicense, or commercially exploit access to the Services
• Impersonate any person or entity or misrepresent your affiliation
• Harass, abuse, or harm VibeTraveler staff, Hotel Partners, or other users

Violation of these provisions may result in immediate termination of your account and legal action where appropriate.

8. Intellectual Property

8.1 Ownership. All content, features, and functionality of the Services, including but not limited to text, graphics, logos, trademarks, software, and design elements, are owned by VibeTraveler or our licensors and are protected by intellectual property laws.

8.2 Limited License. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms.

8.3 Restrictions. You may not copy, modify, distribute, sell, or lease any part of our Services, nor may you reverse engineer or attempt to extract the source code of our software.

9. Disclaimers

9.1 Service Provided "As Is." THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Third-Party Services. We do not warrant, endorse, or assume responsibility for any third-party services, including Hotel Partner accommodations, services, or conduct. Your interactions with Hotel Partners are solely between you and such parties.

9.3 Accuracy of Information. While we endeavor to provide accurate information, we do not warrant that hotel descriptions, photographs, amenities, or other content are complete, accurate, or current.

10. Limitation of Liability

10.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIBETRAVELER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

10.2 Liability Cap. IN NO EVENT SHALL VIBETRAVELER'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO VIBETRAVELER IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD 100).

10.3 Exceptions. Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or willful misconduct.

11. Indemnification

You agree to indemnify, defend, and hold harmless VibeTraveler and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) your conduct in connection with the Services.

12. Dispute Resolution

12.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict of law provisions.

12.2 Jurisdiction. Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction.

12.3 Informal Resolution. Before initiating any formal dispute resolution, you agree to first contact us at legal@vibetraveler.com to attempt to resolve the dispute informally.

13. Termination

13.1 Termination by You. You may terminate your account at any time by contacting us or through your account settings.

13.2 Termination by Us. We may suspend or terminate your account and access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise detrimental to VibeTraveler or third parties.

13.3 Effect of Termination. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

14. General Provisions

14.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and VibeTraveler regarding the Services.

14.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

14.3 Waiver. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

14.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure. VibeTraveler shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or governmental actions.
